Abstract
In 1994, the International Institute for the Unification of Private Law (Unidroit) published the Principles for International Commercial Contracts. This text was simply offered to the international community by Unidroit, thereafter it did not receive any endorsement by States or international organizations. The private character of the Principles sets them apart from most instruments developed for purposes of unifying systems of law. It is therefore appropriate to ask oneself if the Principles may be regarded as a codification. Indeed, insofar as they formulate a systematic and coherent set of rules pertaining to organize contracting in international trade and to the extent to which they summarize existing rules of international trade law or lex mercatoria, the Principles may be considered to be a codification.
